Ameta USA Terms of Service

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the purchaser ("Customer," "you," or "your"), and Ameta USA Co Ltd ("Ameta USA," "we," "us," or "our"), and govern your purchase of products and services from Ameta USA through its direct sales channels, including its website, sales team, and authorized representatives.
By placing an order with Ameta USA, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not purchase products from Ameta USA.
1. Scope and Acceptance
These Terms apply to all orders, purchases, and transactions made directly with Ameta USA unless otherwise agreed in writing. Any additional or conflicting terms proposed by the Customer shall not apply unless expressly accepted by Ameta USA in writing.
2. Changes to These Terms
Ameta USA reserves the right to revise or update these Terms at any time without prior notice. Any changes will apply prospectively to future orders. The Terms in effect at the time an order is placed will govern that order.
3. Orders and Acceptance
All product listings, descriptions, pricing, and specifications are invitations for purchase and do not constitute a binding offer by Ameta USA. An order submitted by the Customer constitutes an offer to purchase, which is subject to acceptance by Ameta USA.
Ameta USA reserves the right, in its sole discretion, to accept, reject, limit, or cancel any order for any lawful reason, including but not limited to product availability, pricing errors, suspected fraud, unauthorized resale activity, export compliance concerns, or inaccuracies in billing or shipping information.
4. Pricing, Taxes, and Charges
All prices are subject to change without notice. Unless expressly stated otherwise, listed prices do not include shipping, handling, insurance, applicable sales tax, use tax, duties, brokerage fees, or other governmental charges. The Customer is responsible for all applicable taxes and charges associated with the purchase and delivery of products.
Ameta USA reserves the right to correct typographical, clerical, pricing, or technical errors and may cancel or refuse orders placed based on incorrect information.
5. Payment Terms
Payment must be made using an approved payment method acceptable to Ameta USA. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and that all submitted payment information is accurate and complete.
If payment is declined, reversed, or cannot be processed for any reason, Ameta USA may delay, suspend, or cancel the order.
6. Product Availability and Backorders
All products are subject to availability. Ameta USA does not guarantee that any product will be in stock at all times and reserves the right to discontinue any product at any time without liability. If a product is unavailable after an order is placed, Ameta USA may cancel the order, delay shipment, or, where appropriate, offer a substitute product of equal or greater value.
7. Shipping and Delivery
Ameta USA will make commercially reasonable efforts to process and ship orders promptly; however, all delivery dates are estimates only and are not guaranteed. Ameta USA shall not be liable for delays caused by carriers, manufacturers, customs authorities, force majeure events, or other circumstances beyond its reasonable control.
Title to and risk of loss pass to the Customer upon delivery of the products to the carrier, unless otherwise required by applicable law. The Customer is responsible for providing accurate and complete shipping information. Ameta USA shall not be responsible for failed delivery attempts, returned shipments, or losses resulting from inaccurate or incomplete address information.
8. Promotions and Discount Offers
Promotional pricing, discount codes, rebates, and special offers are valid only during the stated promotional period and are subject to their own applicable terms. Promotions may be modified or discontinued at any time without notice and may not be combined unless expressly stated.
Refunds for products purchased under a promotion will be limited to the amount actually paid by the Customer.
9. Order Cancellation
Requests to cancel an order must be submitted as soon as possible. Orders that have already been processed, packed, prepared for shipment, or shipped may not be eligible for cancellation. Any approved cancellation will be confirmed by Ameta USA and refunded in accordance with the original payment method, less any non-recoverable costs if applicable.
10. Returns
Ameta USA accepts returns on eligible products purchased directly from Ameta USA, subject to the conditions below:
- AIBASE products: eligible for return within 60 days of delivery.
- All other brands: eligible for return within 30 days of delivery.
To qualify for return, products must be returned in original condition, with original packaging, manuals, accessories, and all included components, and must not show signs of misuse, abuse, installation damage, or alteration.
The buyer is responsible for all return shipping costs unless Ameta USA expressly agrees otherwise in writing. All shipping-related charges are strictly non-refundable and non-creditable under any circumstance, including, without limitation, original outbound shipping, return shipping, replacement shipping, expedited shipping, refused shipments, redirected shipments, and shipping charges related to inspections, denied returns, or no-fault-found products.
Refunds and Credits: Approved returns may be issued as either a refund or store credit at Ameta USA's discretion, subject to the following:
- AIBASE products: eligible for refund or credit. Refunds may be issued upon customer request, subject to review and approval by Ameta USA.
- All other brands: returns are generally issued as store credit only, unless otherwise approved by Ameta USA.
Where a refund to the original payment method is approved, Ameta USA reserves the right to deduct any applicable credit card processing fees, transaction fees, administrative costs, and restocking fees associated with the original purchase and return.
Store credit is the standard method of return settlement. Refunds to the original payment method are not guaranteed and are issued only at Ameta USA’s sole discretion.
All returns are subject to inspection and approval by Ameta USA. Ameta USA reserves the right to deny any return that does not meet the above conditions.11. Warranty
Warranty coverage for products sold by Ameta USA is governed by our dedicated warranty policy, which outlines specific terms, coverage periods, procedures, and limitations by brand and product category.
Customers should refer to the official Ameta USA Warranty Policy page for complete and current warranty details.
In general:
- Warranty terms may vary depending on the product brand, model, and manufacturer.
- Warranty coverage applies only to products purchased directly from Ameta USA or through authorized Ameta USA sales channels.
- Warranty remedies may include repair, replacement, or credit, depending on the product and issue.
- Warranty is non-transferable and applies only to the original purchaser or authorized channel partner. End users must process warranty claims through the original purchasing dealer unless otherwise approved by Ameta USA.
For products not under the AIBASE brand, warranty resolutions are typically provided in the form of replacement or credit.
Refunds are generally not provided for non-AIBASE products.
For AIBASE products, Ameta USA may, at its sole discretion, offer a refund, replacement, or credit depending on the nature of the issue and the circumstances of the claim.
The warranty does not cover damage or failure resulting from misuse, abuse, improper installation, unauthorized modification or repair, environmental conditions, power issues, or normal wear and tear.
To the fullest extent permitted by law, Ameta USA's obligations under warranty are limited to the remedies outlined above and in the official warranty policy.
12. Data Responsibility
Customers are solely responsible for backing up, transferring, and deleting any data stored on products before returning products for service, warranty evaluation, replacement, or refund. Ameta USA shall have no responsibility for any data loss, corruption, recovery, or disclosure.
13. Product Use and Compatibility
The Customer is responsible for ensuring that the products purchased are suitable for the intended application and compatible with any third-party hardware, software, services, networks, or systems. Ameta USA does not guarantee compatibility except where expressly stated in writing.
14. Disclaimer of Warranties
Except for any limited warranty expressly provided in writing by Ameta USA, and to the fullest extent permitted by applicable law, all products are provided on an "as is" and "as available" basis. Ameta USA disclaims all other warranties, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage in trade.
15. Limitation of Liability
To the fullest extent permitted by law, Ameta USA and its affiliates, officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including without limitation lost profits, lost revenue, loss of business opportunity, loss of goodwill, business interruption, or loss of data, arising out of or relating to any product, order, service, or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Ameta USA's total aggregate liability arising from or related to any claim shall not exceed the amount actually paid by the Customer for the specific product giving rise to the claim.
16. Compliance with Laws and Export Restrictions
The Customer agrees to comply with all applicable laws, rules, regulations, and ordinances relating to the purchase, use, resale, transfer, export, or re-export of the products. Products may be subject to United States export control laws and regulations. Ameta USA reserves the right to refuse any sale or transaction that may violate applicable export, sanctions, or trade compliance requirements.
17. Force Majeure
Ameta USA shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, acts of God, labor disputes, war, terrorism, civil unrest, governmental actions, supply chain interruptions, transportation disruptions, pandemics, epidemics, cyber incidents, utility failures, or shortages of materials.
18. Governing Law and Venue
These Terms and any dispute arising from or relating to these Terms or the purchase of products from Ameta USA shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in California, and the parties consent to the jurisdiction and venue of such courts.
19. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms constitute the entire agreement between the Customer and Ameta USA with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether written or oral, except as expressly agreed in writing by Ameta USA.
